Is it possible there's such a thing as "small-business purchase brain" that might be a lot like pregnancy brain? Because these days, I'm feeling a lot of forgetfulness, just like I hear about from my mommy friends. I really think I'm just trying to cram too many facts into my brain at one time. My Any List Pro app is working OVERTIME, with multiple to-do lists, project lists, and shopping lists being updated daily. Thank goodness for that.
Today, for example, I was getting ready to go to pick up my new Lease (!!) from my landlord, and then going to the gym afterward to get in a quick jog. I was mixing up my Powerade for the gym while going over in my mind what I would be working on this afternoon. When I got to the gym, I realized I didn't have my Powerade. When I got back home after my jog, I found this:
Yup, I dumped in the Powerade powder and then walked away and left for the errands without even filling the bottle up the rest of the way. LOL
Luckily, everything with the business is going GREAT and really coming together. I can feel that the closing date is really getting close, and I'm feeling more and more excited and nervous. As I said above, my Lease has been finalized and was approved at the Salem City Council meeting on Monday night (my new landlord is the City of Salem).
The Operating Agreement for my LLC is being finalized today, after which I can meet with Donna and sign all the documents needed to legally and correctly set up the company. I filed the Articles of Organization with the Secretary of State and obtained an FEIN (tax ID number) from the IRS back in June. At that point, I technically had a company, but there are a number of additional items required: the Operating Agreement; a Certificate of LLC to define ownership; and an initial meeting of the members, with official meeting minutes. All these documents are signed and go into the corporate handbook, creating a legally established company record.
There are just a few other documents required for the closing of my SBA loan. I still need my OLCC temporary liquor license, which I'm getting next Monday; and the final Asset Purchase Agreement, which should be completed by the sellers' attorney today. The goal is to have all these documents to the SBA loan closing officer no later than Monday, July 21. Finally, there is a 5-day waiting period after all documents have been received, and the sale should be able to close on either July 25 or 28!!!!
During the past week, I've worked at the store a couple of afternoons, learning with Jo about the product lines and creating orders for this year's holiday season. Orders are placed several months ahead of time for the holidays, but if you place a minimum order, many companies offer great terms, discounts, and sometimes free shipping. The most FUN part has been taking home all the product catalogs and searching through them each evening. There is SO MUCH KITCHEN STUFF available and I LOVE looking at all of the new products. It's also just hit me this week that, as a kitchen store owner, I'll never again have to pay retail for my own personal kitchen gear!! Wow, that is pretty awesome.
